Welcome to the International Center for Leadership Development, Inc.’s (ICLD) family of online application services, which include Envicomply, the Environmental Compliance Assessment Training and Tracking System (ECATTS), and the Environmental Safety and Occupational Health Training Network (ESOHTN). ICLD and any and all entities that control, are controlled by, or are under common control with ICLD are collectively referred to herein as “we,” “us” or “our”. The ICLD application services (the “Services”) are accessible worldwide to any authorized user with internet access subject to the following Terms of Use. These Terms of Use may be modified or amended from time to time without notice to you. PLEASE READ THIS DOCUMENT CAREFULLY. YOUR USE OF THE SERVICES CONSTITUTES YOUR AGREEMENT TO THESE TERMS OF USE. We may add or delete features or content to the Services at any time and for any reason.

Privacy
This website is owned by the International Center for Leadership Development, Inc. The Services are tools to make available and track job related training. The information you provide when using the Services is collected in order to provide training, to report the fact or results of your training to you and/or authorized administrators, and to respond to your support requests. There is no other intended use for this information. However, your interaction with the website is not confidential. By using the Services you are consenting to the monitoring of your activity for purposes of tracking your training progress. We never rent, sell or share your personal information with any persons or non-affiliated organizations. We do not collect information for commercial marketing. While you must provide certain information during registration, we recommend that you NOT include any personal information beyond that specifically requested, especially Social Security numbers. Beyond the uses listed above, we will only share the information you give us when otherwise required by law. This website uses a session cookie (tokens that remain active only until you close your browser) to maintain your login.

Personal Use
You agree to use the Services for your personal training and reference purposes (either for the benefit of yourself or your employer). You agree to personally respond to all test questions. You agree that you will not disclose your password to anyone else or otherwise permit anyone to gain unauthorized access to the Services.

User Account, Password and Security
You will receive a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.

Intellectual Property Rights
Each of the websites and applications through which the Services are provided are copyrighted as a collective work. All information, applications, content, software, code and materials that make up the Services are our copyrighted property or the copyrighted property of our licensors or licensees. All trademarks, service marks, trade names and trade dress are proprietary to us and/or our licensors and licensees. Infringement of the copyrights, trademarks, service marks, trade names and trade dress in the Services (including the selection and arrangement of content) is prohibited. No information, applications, content, software, code or materials from the Services may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way without our written consent. By submitting material to us such as, but not limited to, through the Comment or Suggestions features, you are thereby granting us a non-inclusive, royalty-free, world wide license to reproduce, display, modify, create derivative works from or otherwise use such material, for any purpose whatsoever, without the requirement of any payment to you or to any other person or entity.

U.S. Government Restricted Rights
The Services contain software and documentation that are commercial computer software and documentation developed at private expense. Use, duplication, or disclosure by the U.S. Government is subject to these Terms of Use, and where applicable, the restrictions set forth in the Rights in Technical Data and Computer Software clauses and any successor rules or regulations.

Links to external websites appear in the Services. The links allow you to leave the Services and go to websites operated by other parties which are not controlled by us. The presence of external links does not constitute an endorsement, guaranty or warranty by us of any of the external websites, or the information, products or services contained therein.

Use by Children
The Services are not intended for use by children under the age of 13. We do not knowingly collect any information from such children or allow them to create accounts or otherwise access the Services.

Indemnification
You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account. This includes, without limitation, complying with these Terms of Use. You agree to indemnify, defend and hold us, and our directors, officers, owners, employees, agents, representatives and assigns (collectively the “Indemnified Parties”) harmless from and against any and all losses, damages, liabilities and costs, including, without limitation settlement costs and any legal or other fees and expenses for investigating or defending any actions or threatened actions incurred by the Indemnified Parties in any claim arising out of (a) any breach by you of these Terms and Conditions, (b) your use of the Services, (c) your connection to the Services, or (d) your account. You agree that we will not, under any circumstances, including negligence, be liable for any incidental, indirect, consequential or other damages suffered by you as a result of your use or attempted use of, or otherwise in connection with, the Services. No Waiver
Failure on our part to enforce some or any of the provisions of these Terms of Use at any time shall not be construed as a waiver of our right to enforce said provisions at any other time.

Severability
If any provision of these Terms of Use are declared invalid, illegal or unenforceable under any applicable statute or rule of law, such provision shall be deemed amended to achieve as nearly as possible the same economic effect as the original provision and the remaining provisions of these Terms of Use shall in no way be affected or impaired.

Jurisdiction, Venue and Governing Law
These Terms of Use shall be governed by the laws of the state of Florida. Venue in any cause of action arising out of or related to the Services shall be commenced in the proper court in and for Seminole County, Florida. You hereby consent and submit to the personal jurisdiction of such courts for the purpose of such action.
